Indian solar module and cell manufacturer Premier Energies Ltd said its board has approved the formation of a renewable energy EPC joint venture and extended timelines for two previously announced acquisitions, according to an exchange filing by the company.

The company will invest in HeliosAnthos Energies Pvt Ltd, which has been incorporated to undertake engineering, procurement and construction (EPC) contracts for solar, wind, battery energy storage and hybrid projects. Premier Energies will hold a 51% equity stake and management control, while BA Prerna Renewables Pvt Ltd will hold the remaining 49%.

Ksolare Energy Acquisition Extended 

Separately, the board approved an extension of the long-stop date for the proposed acquisition of a 51% stake in Ksolare Energy Pvt Ltd to April 15, 2026, citing the need to complete conditions precedent. The acquisition was previously disclosed in October 2025 and January 2026.

The company also said it has deferred the acquisition of the balance tranche of equity shares in Transcon Industries Ltd until April 15, 2026 due to pending conditions under the amended share subscription and shareholders’ agreement.

The board meeting began at 4:00 p.m. and concluded at 4:28 p.m., the company said in filings to the BSE and the National Stock Exchange.

Diversification Spree 

Premier Energies has been pursuing diversification across the solar supply chain, including acquisitions in the inverter and transformer segments. The company previously announced to acquire a 51% stake in KSolare Energy, a Pune-based solar inverter manufacturer, and approved the acquisition of Transcon India to enter transformer manufacturing as part of its integrated energy strategy.

The company has also outlined plans to expand into battery energy storage systems and inverters while pursuing backward integration across the solar value chain, including ingots and wafers, as part of its long-term growth strategy
